Performer Agreement

This Agreement governs your use of www.hijack.co.in ("Hijack", "the Service") to take song requests from your audience, operated by Jack Stephen Tucker, a sole proprietor in India, registered under Udyam registration number UDYAM-GA-0061593, with place of business at 179, Lane 2A, Alto Bella Vista, Sangolda, Porvorim, Bardez, Goa 403511, India ("we", "us"). "You" and "the Performer" mean the musician, DJ or venue who holds the account.
This Agreement is separate from, and additional to, our Terms of Service, which govern a guest's use of the Service. Where the two conflict on a matter between us and you, this Agreement controls.
By creating a Performer account you agree to this Agreement. If you do not agree, do not create an account.
1. What we provide
Hijack gives you a public page where guests can browse your song list and submit requests, a live queue you manage during a performance, and (where you choose to enable it) a way for guests to pay a fee for a request. We collect any such payment on your behalf and pay you your share of it, as described in Section 3.
You choose your own song list, your own prices within the Service's tier structure, and whether to run free requests, paid requests, or both. We do not book your performances, do not choose your setlist, and are not involved in your relationship with any venue.
2. Your relationship with us
You are an independent performer, not our employee, worker, agent, or partner, and nothing in this Agreement creates a partnership, joint venture, or employment relationship between us. You are solely responsible for your own performance, your own conduct at a venue, your own tax affairs, and your own compliance with any law that applies to you.
Public performance licensing is your responsibility, not ours. Where a licence (for example from IPRS) is required to perform a cover version at a venue, obtaining it is between you and the venue under applicable Indian law. We do not distribute, stream, sell, or reproduce any musical recording, and holding a Hijack account does not licence anything.
3. Fees
Where a guest pays a fee for a request, we deduct a service fee before paying you the rest. That fee has two parts:

This fee is deducted from the request amount — it is never charged to you separately, and you are never asked to pay it out of pocket. The percentage is set by us and may change; where it does, we will give you notice before it takes effect for new requests, and it never applies retroactively to a request already paid. The current figure always governs, regardless of what any earlier version of this Agreement stated.
This fee is entirely separate from the Service's tier prices, which are yours to set. Raising or lowering your prices does not change the percentage above.
Where you were referred to the Service by another Performer, part of the platform margin above — currently 5 percentage points of it — may be paid to that Performer as a referral commission, for your first three calendar months on the Service. This is taken from our own margin, not added to what is deducted from your requests: your share is calculated exactly as described above regardless of whether you were referred, and this arrangement never changes what you are paid.
4. Getting paid
To receive paid requests you must set up a payout account with Razorpay, either directly through the Service or, where that is not available to you, by sending us your bank details so we can set one up on your behalf. Where you send us your bank details directly, we hold your full account number and IFSC only until the account is created, and delete them the moment it is — see our Privacy Policy for how your data is handled generally.
Your share of each paid request is transferred toward your linked account through Razorpay's standard settlement process. Settlement timing is set by Razorpay, not by us, and can be affected by their own verification checks on your account.
You are responsible for keeping your bank details, PAN, and any other information Razorpay requires accurate and up to date. We are not liable for a delayed or failed payout caused by incorrect details you provided, or by Razorpay's own verification or KYC process.
You are solely responsible for declaring and paying any tax due on what you earn through the Service. We may be required to report payments made to you to tax authorities as required under Indian law.
5. Referral commissions
Where you refer another Performer to the Service and they create an account, you may earn a commission — currently 5 percentage points of the platform margin described in Section 3 — on their paid requests, for their first three calendar months on the Service. This commission is income to you, in the same way your own request earnings are, and is paid through the same payout account and settlement process described in Section 4.
A commission may be conditioned on your own activity on the Service remaining above a minimum level we set from time to time; where it is not met in a given month, that month's commission is not paid, but your referral relationship and any future month's eligibility are not affected by a single inactive month.
You are solely responsible for declaring and paying any tax due on referral commissions, on the same basis as your own request earnings under Section 4.
6. Declines and refunds
You may decline any request, for any reason. Where you decline a paid request, the guest's fee is refunded to them in full, automatically — you do not receive any part of it, and we do not charge you for issuing that refund. This is the same guarantee stated in our Terms of Service and Refund and Cancellation Policy, and you agree to it as a condition of taking paid requests through the Service.
Where a request is accepted and the benefit it carries cannot be delivered for a reason within your control — for example ending your performance early and never reaching an accepted request — the same full refund applies, and no fee for it is retained by either of us.
7. Content on your page
Your stage name, biography, photographs, links and song list are published on your public page. You confirm that you have the right to publish everything you upload, that it does not infringe anyone else's rights, and that it is not unlawful, obscene, defamatory, or harassing. We may remove content or suspend a page we reasonably believe breaches this.
You are responsible for moderating any dedication, shout-out or message content that is displayed or read aloud as a result of a request you accept. We provide the tools; the judgment call on any individual message is yours.
8. Suspension and closure
We may suspend or close your account, or refuse to process further paid requests through it, where we reasonably believe you have breached this Agreement, engaged in fraud, or where Razorpay refuses or withdraws your payout account. Where we do this we will tell you why, except where we are legally restricted from doing so (for example an active fraud investigation).
You may close your account at any time by contacting us. Closing your account does not affect a payout already due to you for requests already taken, and does not retroactively affect any guest's right to a refund on a request that predates closure.
An account that is created and never used — no songs, no performances, no requests — may be closed as described in our Privacy Policy.
9. Availability and liability
The Service is provided on an "as available" basis, as described in our Terms of Service. We do not warrant uninterrupted or error-free operation, and we are not liable for a performance opportunity lost because the Service was unavailable, nor for a guest's device, network, or payment method failing independently of the Service.
To the maximum extent permitted under applicable Indian law, our total liability to you in connection with the Service is limited to the total fees we retained from your account in the 12 months preceding the event giving rise to the claim. Nothing in this Agreement excludes or limits liability that cannot lawfully be excluded or limited.
10. Changes to this Agreement
We may update this Agreement, including the fee in Section 3. The current version is always available at this page with the "Last updated" date above. Where a change is significant we will make reasonable efforts to notify you before it takes effect. Continuing to use the Service after a change takes effect constitutes acceptance of it; if you do not agree to a change, your remedy is to close your account.

We will acknowledge your complaint within 48 hours and aim to resolve it within 30 days.
12. Governing law
This Agreement is governed by the laws of India. The courts at Bardez, Goa have exclusive jurisdiction over any dispute arising from it.
